RE: PARTNERSHIP AGREEMENT

Dear Jerry:

We are attaching a draft Northern Tampa Bay Agreement. This draft
agreement has been prepared based on certain objectives approved by the
Governing Board of the Southwest Florida Water Management District and
outlined in Chairman Harrell's letter to Chairman Turancek, dated October 3,
1997.

As indicated in Chairman Harrell's letter, we would like to commence
negotiations with the Authority to develop a mutually acceptable agreement. Mr.
Vergara, Mr. Helvenston and I have been designated as the District's
representatives and we are prepared to commence the negotiations. This draft
agreement represents our efforts to provide a beginning point for our negotiations.
We would also point out that there are a number of items that need to be addressed
that are not included in this draft agreement. For example, one unaddressed item
is what happens if WCRWSA dissolves. Also, we would like to terminate as
many of the pending administrative and judicial proceedings as possible. We
know that there are other items that need to be included and there are items that
we have included that will need to be revised.

We view this draft agreement as a beginning point for our negotiations and
we shall look forward to our meetings.
