NON-EXCLUSIVE EASEMENT

The Indenture, made this/_ day of 2 1995, by and between the Southwest
Florida Water Management District, a public corpo tion created by Chapter 61-691, Laws of
Florida, as amended, whose address is 2379 Broad Street, Brooksville, Florida 34609-6899,
hereinafter called "the Grantor", and City of Tampa, Florida a municipal corporation, whose mailing
address is 315 East Kennedy Boulevard, Tampa, Florida 33602, hereinafter referred to as "the
Grantee".

Witnesseth, that the Grantor, for and in consideration of ten dollars and no cents ($10.00)
and other good and valuable consideration to the Grantor in hand paid by the Grantee, the receipt
of which is hereby acknowledged, does hereby grant, bargain, sell, and convey to the Grantee, its
successors and assigns, a non-exclusive perpetual easement and the right to enter intermittently or
continuously to enter upon, over, under and across and to use any and all of the lands more
specifically described in Exhibits "A" and "B" attached hereto and incorporated herein by reference
hereinafter referred to as "the project lands" for the following purpose:

A non-exclusive perpetual easement on the project lands described in Exhibit "A",
and across other District interest as shown in Exhibit "B" acquired for the
construction of the canal pursuant to Final Judgement issued on July 8, 1968 and
recorded in Official Records Book 702, page 68 of the Public Records of
Hillsborough County, Florida, for the purpose of construction, repair, operation,
maintenance and replacement of Sanitary Sewer Facilities specifically a 36-inch
aboveground untreated wastewater pipeline together with any structures necessary
to operate the pipeline, if any;

If at any time the project lands described in Exhibits "A" and "B" cease to be used for the
purposes herein described, then in that event the rights under this easement shall immediately be
cancelled and all rights to the project lands shall immediately revert to the Grantor, its successors
and assigns.

To have and to hold unto the Grantee and its successors and assigns for the period herein
described, reserving unto the Grantor the right to use the project lands in any manner not
inconsistent with the rights hereinabove granted; provided however, that the Grantor shall avoid
physically disturbing said untreated wastewater pipeline located thereon in any way without prior
written approval oftthe Grantee; and subject to the following terms and conditions:

1. The easement rights granted herein to the Grantee shall be subordinate to the rights of the

Grantor to operate and maintain the canal to accomplish the flood control protection benefits
it was designed to provide. In time of flood or other natural disaster affecting the Grantor,
the Grantee shall comply with all reasonable requests concerning the Grantor's use of the
project lands.

2. The integrity of the project lands and its water quality shall be paramount at all times and no
modification to the construction approved by the Grantor or construction of additional
facilities shall be done by the Grantee without the prior written approval of the Grantor.

3. The Grantee shall obtain all federal, state and local permits and comply with all policies
required to construct, operate and maintain the pipeline and its facilities, including but not
limited to, permits regarding relocation of gopher tortoises and tree removal prior to
commencing with construction of the pipeline and its facilities.

4. The Grantee shall have sole and complete responsibility for the operation, maintenance,
monitoring and repair of the pipeline and its facilities. The pipeline and facilities shall
remain the property of the Grantee.

5. The Grantee shall restore the project lands to the condition they existed prior to construction
of the pipeline within ninety (90) days of the completion of construction of the pipeline and
its facilities and shall contact the Grantor's Land Resources Department for final inspection
and approval.

6. The Grantee agrees that in the event it is necessary to relocate or remove the pipeline and its
facilities in connection with flood control, water quality degradation or at the direction of the
Grantor it shall do so at its own expense.

7. The Grantee shall provide the Grantor with three (3) certified copies of as-built surveys at
its own expense within six (6) months after construction is completed.

8. The Grantee shall immediately notify the Grantor of any emergency situation occurring upon
the Project Lands including but not limited to: fires, floods, pipeline leaks and sewage spills
on the lands.

The terms and conditions contained in this easement shall extend to and be binding upon all
parties and their respective successors and assigns throughout the terms of this easement.

The terms "Grantor" and "Grantee" herein shall be construed to include the successors and
assigns of the respective parties hereto, wherever the context so admits or requires.

The recordation of this easement shall constitute acceptance of the aforementioned
conditions, reservations, reversions and covenants.
