SUBJECT: Special Counsel to Assist in Desalination Project Negotiations




ISSUE: Whether the Authority's legal services contract with the law firm of Allen, Dell, Frank &
Trinkle, P.A., should be amended to allow that firm to assist the Authority withfcontract negotiations for
the desalination project?


RECOMMENDATION: It is recommended that the Board approve this contract amendment.


DISCUSSION: The law firm of Allen, Dell, Frank & Trinkle, P.A., has assisted the Authority on
various property acquisition, eminent domain and environmental permitting matters since 1995
under Legal Services Contract #95-28. Simultaneous contract negotiations associated with the
desalination project will be intensive and will occur between May and July, 1998. Due to the
specialized nature of these negotiations and the anticipated involvement of the General Counsel in
Governance, Partnership, and water use permitting matters during this time, it is recommended that
the scope of services under Contract #95-28 be amended to authorize the firm of Allen, Dell, Frank
& Trinkle, P.A., to represent the Authority in the simultaneous contract negotiations which are
expected to occur regarding this project. Funds are available in the legal services budget for this
activity, and therefore, there would be no budget or rate impact as a result of this contract
amendment.
