Dear Red:

I was delighted to receive notification of selection for professional
services for the referenced project. I look forward to working with you and
Bob Steinbach again in the coming months.

In accordance with our telephone conversation yesterday I am submitting
this letter as a proposal for professional fees for the referenced project.
I assume that Dick Clem will convert these figures after negotiations into
a standard DGS lump sum contract.

The following time and cost estimates take into account the following:

1. Bob Steinbach has the original drawings which we will be permitted
to copy. This will save us an enormous amount of time, although it will be
necessary to verify existing conditions at the site and to prepare new
drawings to show existing conditions as well as proposed new finishes.

2. There are some services required for this project which are usually
included under the Additional Services clauses of the contract. These
services include programming and measured or documentary drawings. Neither
of these services will be extensive. Therefore, I propose to substitute
these services for the Schematic Drawing phase of the work.

3. The only personnel that will work on this project will be me and
John Nelson (he prepared most of the drawings for the Capitol), plus the
secretary.

6. Shepard Associates will provide five review sets of documents at
each phase of the work. After the construction documents are approved for
bidding, Shepard Associates will provide five sets of the final drawings and
specifications plus a reproducible set of drawings and a master copy of the
specifications for further duplication by Bob as the need arises.

I propose the following fees and submission schedule:


Programming/Documentary/Design Development
Shepard: 20 hrs @ $50
Nelson: 100 hrs @ $25


50% Construction Drawings Phase: (30 days)
Shepard: 16 hrs @ $50
Nelson: 80 hrs @ $25


100% Construction Drawing Phase: (30 days)
Shepard: 16 hrs @ $50
Nelson: 80 hrs @ $25


Construction Administration: (150 days)
Shepard: 24 hrs @ $50 (Six 1/2 day
trips)
Nelson: 24 hrs @ $25 (Two 1/2 day
trips plus shop drawings)

4. Neither Bob nor I believe that extensive services of professional
engineers will be required; certainly no structural work is required. In
the event electrical or mechanical consultation is required I suggest it be
done on a $50 per hour basis to a maximum of $1000 under the contract. If
additional services are required we will request an amendment to the
contract. We will bill only for engineering services actually provided.

5. The drawings and particularly the specifications will be prepared
in a form that will permit Bob to act as a General Contractor who receives
competitive bids from subcontractors. There will not be a standard Bidding
Phase to the project. We will prepare proposal forms for use by the subs,
and will prepare a Subcontractor-Owner Contract based upon the current AIA
documents or documents provided by DGS. Shepard Associates will provide Bob
with the masters of these documents, and he will duplicate and execute them
as necessary.

6. Shepard Associates will provide five review sets of documents at
each phase of the work. After the construction documents are approved for
bidding, Shepard Associates will provide five sets of the final drawings and
specifications plus a reproducible set of drawings and a master copy of the
specifications for further duplication by Bob as the need arises.

I propose to submit fee statements for the appropriate amount due at the
completion of each phase, except that Construction Administration will be
billed in proportion to the work accomplished at the end of each month.
Engineering fees, if any, will be billed at actual cost not to exceed
$1000 at the end of the phase in which they are incurred.

conference call with Bob.
