I tike much pleasure in inftoring you thi th r ...-
ganization of the Florlda Bank and Trust Company is progressing
satisfactorily, and has now reached that step its organization
that we are enabled to begin business upon the payment of not
less than 50% of the capital stock and procurement of a certifi=
cate of authority from the State Comptroller, as required by
Statute.
The purchase of the Uereiant ile Exchange Bank hars
ing been agreed upon, the consummation of which is to be affected
and tho transfer made to us on the 5th day of January, next, which
date has been fixed as the date for the Florida Bank and Trust
Company to ooamence business.
It is understood and agreed that a sum equal to 5$
of the capital stock of the Florida Bank and Trust Company shall
be paid to the stockholders of the Merclantile Exchange Bank as
the value of its Incidental assets and good will, making the total
cost of the shares of stock of the Florida Bank and Trust Company,
including the purchase of the Merc&antile Exchange Bank, one hun=
dred and five dollars per share.
Therefore, in accordance with the Statute, bylaws
and resolutions of the Executive Committee, I beg to announce that
in order to procure the certificate of the Honorable Stats Coamp=
troller authorizing the Florida Bank and Trust Company to cornence
business, as required by law, on the 5th day of January, next, it
will be necessary for the payment of at least 50% of the capital

LEASE OF PRISTONERS-
(1)- To prepare and pass upon an agreement to be entered
into between the lessee and the Board of Commissioners of
State Institutions under the provisions of Notice, Bid and
A-ard of March first 1905.
(2)- To examine the lease on the subject .covering the
powers of' the Board of Commissioners of State Institutions,
to lease and contract and conclude the contract, vesting
rights in the lessees that subsequent legislation cannot
effect during the continuance of the contract prior to the
delivery of the prisoners.
(3)- To protect the interest of the lessees and all
legal and reasonable provisions of the contract against the
iD)osition of prisoners not inclu.-Id. in these contracts
proper, such as minors under the age of sixteen and disabled
and decrepid prisoners, escapes &c..
(4)- To advise with your leasees and aid in the ::n~y.e
ment and contract of matters arising from time to time betw-
een the Commissioner of Agriculture and the lessees concernla
ing the maintenance .3uppi.lies, clothing sanitation plans and
specifications of stockades, the conduct of hospitals and
such other matters as may arise from time to time concerning
the r.:anrgement of the prisoners under such contract.
(5)- To conclude the conditions,covenants, agreements
and provisions of the contract between the Board of Cornmmis-
sioners of State Institutions and. the lessees and in the
m-n".ement of matters arising from tirie to time under the
provisions of said contract- the management of the prisoners,
the rules and regulations governing the care and maintenance
sanitation ,hours of labor, allowance of mrounts for escapes
.inors, the hospital population, the payment of chaplans,

Institutions and in the settlement of matters concerning

Convict Camps in matters concerning complaints of an:. viola-
tion of the terms of lessees contracts from time to time as
necessity arises.
(7)- To prepare subtant lease for lessees to e::ecute for
sub lessees from time to time as ocassion may arise with view'
of protecting the lessees in the proper care and mrintrenance
by sub lessees the payment therefore as may be agreed upo::,
lease to become forfeited if not complied -vith, with cove-
nants of indeiniity in all cases of damage arising out of the
mang -iment of said lessees for which the lessees right become
liable and all costs and attorneys' fees arising thereunder.
(8)- To ir'ep.re bonds to secure the fulfilnent of con-
tracts entered into by sub lessees and for indemnity mention-
ed.
(10)- And to advise in all matters concerning the rights
and status of lessees between t.er:i--elves and the state author
-ities and between theis'lves'and sub-lessees.
(10)- And to advise in all eases arising in all suits of
lessees to be instituted by sub lessees under the provisions
of its contracts and the Board of Commisioners of State In-
stitutions Or between it and any of its sub-lessees, or any

proved commercial condition which will obtain winen the said canal shall
have become an accomplished fact.
In accordance with the arrangements made for the said convention, I
have been requested to invite, and do hereby cordially invite, the Gover.-
nars of all the Southern States of the Union to attend the said conven-
tion, at Tampa on May 4th, 1904, and to appoint as delegates to said con-
ven'tion such number of citizens of their respective states as to them may
seem advisable; and I further invite, upon the same request, all commer-
cial bodies of the cities and states of the South to send such number of
representatives of their organizations as delegates to said convention as
they may consider desirable.
It is earnestly desired that every Southern State and all commercial
bodies of the South shall be well represented at the said convention, that
the most satisfactory results may be obtained. All communications and
names of all delegates appointed should be addressed to Hon. W. R. Fuller,
President Tampa Board of Trade, Tampa, Florida.

of the first meeting of the Executive Committee.
Immediately following the adjournment of the first
meeting of the Board of Directors of the Florida Bank and Trust
Company held on this the 15th day of December, A. D. 1904, the
Executive Conmmtittee of the corporation assembled at the offices
of the company in the City of Jacksonville, Florida, at o'clock
on the said day,
WHEREUPON, the meeting was called to order by Mr.
W. F. Coachman, President, and its object stated.

Dear Sirs:-
Agreeably to Section 2249 of the Revised Statutes of the State of
Florida, I beg to advise you that the President and Directors of the
Florida Coast Line and Transportation Company, have fixed the rate of
tolls for the use of their canal between New River and Biscayne Bay as
follows:
For vessels up to 40 feet in length, 10 cents per foot.
between 40 and 70 feet, 15 "
79 ft and 120 feet, 20 "
t" 120 ft and 200 feet, 25 '
I wish to inform you that for the year 1903, the total measurements
of vessels using said Canal between New River and Biscayne Bay was 4528.5
lineal feet. The costs of constructing of said Canal between New River
and Biscayne Bay was $183,684.04 ,
I also beg to inform you that during the year 1903, the wages of
the toll keeper for seil Canal was -8.00 in excess of receipts from tolls.-
I mention these facts so you can see the above rate of tolls fixed by the
said President and Board of Directors are more than reasonable, and I ask
your Board to approve same agreeably to said Section of the Revised
Statutes.

e godkin for advertising on the "News Gallery" I beg to say that as I
explained to you the only connection I have with them wax is the renting
of the space in which to operate their machine. When you told me of the
representations made to you by them, I went to ,r Fulton and told him
that the name of the News must not be used in connection with their work,
and that your advertisement must be out out which he assured me would
be done,and this is the first I have heard of it since. If he is running
your notice it is without my knowledge and in spite of what I have writ-
