Dear Mr. Sundeman:

I am responding to your two letters of May 12.

In regard to your letter inquiring about a meeting with Davis Upchurch
or Janis Williams, I want to inform you that I did meet with Janis Williams
at the recent meetings of the Florida Historical Society in Miami. Her
position on the possible sale of the Parades-Dodge House is the same as the
position-statement made by Jean Waterbury on the subject--i.e., such an
alienation would violate the verbal understanding which existed between the
St. Augustine Historical Society and the Historic St. Augustine Preservation
Board at that time. It is the position of Janis Williams and Jean Waterbury
that the St. Augustine Historical Society sold the Parades-Dodge House to
the Board with the understanding that it would be held in perpetuity and
ultimately restored. Although I too am anxious to begin the sale process
of some of our properties for the purpose of funding for revolving fund
restoration, it is my opinion supported by the professional staff, that the
Parades-Dodge property should not be sold considering the verbal understanding
that accompanied the sale of the property to the Board, our effort to achieve
good community relations, and the fact that the building is one of the few
remaining extant colonial structures in the city.

In reference to your second letter and request for the appraisal of
the Parades-Dodge House, I want to inform you that all of the current appraisal
information on Board and Foundation property will be sent to you accompanying
the new Revolving Fund Restoration Plan. I expect those materials will be
mailed to Foundation Directors today. Your copies will be delivered to your
office this afternoon with this letter.

Jeanette has advised me that she will provide me with the necessary budget
data today. A subsequent meeting with you can take place Wednesday afternoon.
Following our meeting with you, hopefully, we will be able to mail the budget
material to the Board members on Thursday.

The Foundation minutes for the meeting of March 30 will be amended
for Item IV, new business, to read: "This conversation led to a question
by Mr. Sundeman to Mr. Lewis regarding the availability of funds in the
amount of $150,000 from the St. Augustine Foundation offered to the Board
in 1980..."

Copies of Mr. Lawrence Lewis' letters to the Secretary of State and
Mr. William Rolleston, which were in your possession, were not added as
supplements to the minutes because some of the other Board members did not
possess them at the meeting and the letters were not proposed as additions
at that time. At the next meeting, a motion can be passed to add them to
the previous meeting minutes.

I trust that this letter appropriately replies to your questions and
requests.
