STIPULATION-FOR DISMISSAL WITH PREJUDICE
AND ORDER


Plaintiff, State of Florida Successor to the Historic St.

Augustine Preservation Board, and Defendant, St. Augustine

Foundation, Inc. (hereinafter "Foundation"), through their

undersigned representative and counsel respectively, hereby

stipulate to the dismissal of this action with prejudice and with

each party to bear its own costs and attorneys' fees as the

parties have resolved their dispute based on the following:

1. The by-laws of the Defendant Foundation will be amended

to provide that upon dissolution of the Foundation, the

properties listed on Exhibit A attached hereto will be conveyed

in fee simple to the State of Florida Board of Trustees of the

Internal Improvement Trust Fund by quit-claim deed. Upon

dissolution, the conveyance will take place.

2. The by-laws of the Defendant Foundation shall be

amended to prohibit the Foundation from further mortgaging or

selling, conveying or encumbering the properties listed on









Exhibit A attached hereto, in any manner other than a conveyance

to the State of Florida Board of Trustees of the Internal

Improvement Trust Fund.

3. The by-laws of the Foundation will be amended to

prohibit any further amendment which will alter or otherwise

affect the provisions of paragraphs 1 and 2 hereof.

ORDER OF DISMISSAL WITH PREJUDICE

THIS CAUSE is before the Court on the stipulation of the

parties to the dismissal of this action with prejudice and the

Court being otherwise fully advised in the premises, it is

ORDERED and adjudged that the above-styled cause be and the

same is hereby dismissed with prejudice, with each party to bear

its own costs, attorneys' fees and expenses.
