New Aluminum
Catwalks at Marina
The Gulfport Mumcipal Manna
will replace the catwalks on either
side of its boat ramps and repair
the concrete seawall abutments
This project will cost $84,000, nm-
tially the city budgeted $70,000
The additional cost comes from
adding the seawall abutment re-
pairs to the project
The city will not use any tax dol-
lars to fund this project, the ma-
rina will pay for it out of its own
profits, according to Interim City
Manager Jim O'Relly
"It's well overdue, the existing
wood has been there well over
14 years It will alleviate a real
safety hazard we have there and
that is when we have a real low
tide people have to step down into
their boat and when we have a
high tide the dock is underwater,"

How Should My
Business Be Set Up?
(Part 1)
Our office has had the pleasure of
advising and counseling numerous
clients concerning how to legally set
up a new business venture. As a re-
sult, five (5) different choices of the
types of business entities that may
be utilized will be presented in this
article and our next article. The five
(5) basic choices which an entrepre-
neur or new business owner may
wish to consider are:
A. Sole Proprietorship;
B. General Partnership;
C. Limited Partnership;
D. Corporation; and
E. "S" Corporation.
In this article, we will examine the
general legal requirements of a sole
proprietorship and a general part-
nership.
A. Sole Proprietorship
1. A sole proprietorship is an
unincorporated business owned by a
single individual. A sole proprietor-
ship is not a legal entity separate
from its owner.
2. The owner of a sole pro-
prietorship has unlimited liability
for the debts and obligations of the
business. The owner, therefore,
must rely on personal assets or in-
surance for protection against credi-
tors.
3. For income tax purposes,
income and loss of the sole propri-
etorship passes directly to the sole
proprietor and is reported on his in-
dividual income tax return.
4. No special organizational
documents are necessary to begin
business as a sole proprietorship.
5. The advantage of a sole
proprietorship is that it is a simple
means of beginning a business.
6. In Florida, an individual
who engages in business has a sole
proprietorship under a fictitious
name must register the fictitious
name with the Florida Secretary of
State's office in Tallahassee, Flori-


da.
B. General Partnership
1. A partnership is an un-
incorporated association of two or
more individuals, corporations, or
other entities engaging in business
for a profit.
2. Like a sole proprietor-
ship, a general partnership is not a
separate legal entity. Each partner
in a general partnership is person-
ally liable for the partnership liabili-
ties.
3. A general partnership
must file a separate income tax re-
turn for federal income tax purposes.
However, this is merely an informa-
tion return. Generally, all income
passes to the general partners and
is reported on their individual in-
come tax returns. Losses are also
passed through, subject to limita-
tions, which will be made stricter if
proposed changes in the tax laws are
implemented.
4. Although no written
documentation is necessary to form
a general partnership, normally the
rights and obligations of the various
partners (including their shares of
income, losses, and cash distributed
by the partnership) are specified in
a written partnership agreement.
The partnership agreement may
also specify the manner in which
the business is to be operated, and
may designate a managing general
partner who serves the function of
a chief executive officer. Generally,
in the absence of contrary provisions
in the partnership agreement, the
business affairs of the partnership
are governed by a majority vote of
the partners.
5. Generally, the transfer
of a partnership interest is more dif-
ficult than a transfer of corporate
stock. Restrictions on the trans-
ferability of a partnership interest
may be specified in the partnership
agreement, and transfers normally
require the consent of the other
partners.
6. In Florida, a general
partnership is required to file a ficti-
tious name registration.
7. Generally, the death, in-
sanity, or withdrawal of a general
partner from the partnership "dis-
solves" the partnership, although
the remaining partners may elect to
continue the partnership business


in a new partnership.
8. Generally, each general
partner is an agent of the partner-
ship and has the power to bind the
partnership.

Always have plenty of fuel and

This years Arbor Day on Apnl 24 was ver colorful It was held n Galatea
Garden to honor Galatea Lebus wish that Greek music be played and perfor-

by about 100 visitors Mayor Holmes welcomed all and thanked everyone

and later a Proclamation for Arbor Day was read The Kefi Dancers from St
Stefanos Greek Orthodox Church, dressed m lovely Greek costumes (some
from 1825) appeared on stage, first a group of teenagers, then a multitude of
very young dancers all colorfully dressed performed accompanied by Greek
music Care Kotal, Semor Forester of the Division of Forestry, presented
the mayor with a 20 year award for Arbor Day The mayor posted out the
crepe myrtle tree that was planted m honor of Galatea Lebus and Comm
Howry presented the Beautification award celficates to the following Sn-

the killers have been and are mental-
ly disturbed Or, as we used to say,
"crazy"
No matter how many gons were
"on the street" orm the homes, these
killers were on the loose with access
to all sorts of weapons Many were
disturbed, some were on medica-
tons, but none was hospltahzed or
mstitutionalhzed Theres a good rea-
son There are no long term mental
healthmstitutions Most haveclosed
In their places are many, many small
uts, in hospitals and out, but dura-
ton of hospltahzation is hmted Of-
ten, if a person is over 18, and absent
a court ordered longer stay, he or she
can walk out after a few days
Long term institutions were closed
for three reasons One, the Ise of be-
hanor controlhng dnugs, two, a move
mthe mentalhealth mdustry agamst
warehousing patients, and three,
cost These aren't necessarily bad
reasons, but I would be wilhng to bet
that the frequency of mass kllmgs m
schools, homes, malls, has mcreased
proportionately to the closmg of the
mental hospitals One web site hsted
31 n-school kllhngs (not related to
gang warfare) smce 1995 There also
have been killmgs in hospitals, busi-
nesses, nursmg homes and malls
The problem is that it is very dif-
ficult to get the violent mentally 11
off the streets A good example comes
from Washmgton, Pa (my former
home town), just south of Pittsburgh
A young man, mentally deficient as
well as disturbed and with a fustory
of mcrasmg violence, m and out of
jail and half-way houses smce age 15,


will not be mstltutlonahzed m the
traditional sense Instead, he owll m-
habit a home, specially eqmpped at
a cost of $300,000 with bolted down
furmture, plexglass windows, and
non-breakable items
His record mcludes charges at age
15 of aggravated indecent assault
He was later charged with simple
assault and clnmal imscuef Each
tmne he was placed on probation and
put back under supelrvslon of amen-
tal health authonty Two years ago
he was arrested for grabbmg a wom-
an around the neck punchmg her m
the eye and ickngher several tunes
m the legs He spent tme m jal and
then was sent to a now closed mental
health hospital
Under a 1999 Supreme Court deci-
sion, he went back mto the comu--
ty along with other former residents
He ended back m court for simple
assault wfhle m a group home His
probation was revoked, he was sent
to jail where he got into two fights
Officials attempted to send uim to
another state hospital, but he was
refused entrance even though he ex-
pressed a desire to be there
In fus new home, lvmg alone, he wdll
be monitoredd" by two people around
the clock for as long as he hves One
catch is that the pubhc will not know
where he is located, told only that it
wll probably be a rural area It is
unclear whether he owll mteract with
the commumty from tune to tune, but
that is the mtent of the housmg
Not only is the solution very costly,
but will t keep hun off the streets?
Is this a tragedy waatng to happen?
Does the commumty have a lght to
know where he Is?
At the very least, we need to re-
examne how we handle violent and
potentially violent people

'Anchor Away' weekend at your waterfront. Our group had 17 boats
here and 45 members came... we came away very impressed with
Gulfport and its infrastructure to support the cruising boating
public. We wanted to tell you the members that came want to come
back; we look forward to coming back, possibly when your mooring
field is in place and avail ourselves of the really great time we
had. So thank you I think you have a really wonderful destination
anchorage for the cruising public and possibly with a small
amount of promotion this could be competitive with other places
boaters know along the ICW [Intercoastal Waterway] and other
places, which would be a win-win situation for the city and the

Safe Boating Course
in One Lesson
St. Petersburg College is launching
the May 16 State of Florida approved
Boater safety class at the Seminole
campus library. This one-day, 8-hour
classroom and hands-on course,
appeals to boaters who cannot find the
time for a four-week boater course.
This class meets the requirements
for certification of youthful operators
of a vessel with 10 HP motors or
larger. It is offered as a mandatory
education class for boating violators.
This course is also a great refresher
course for any boater and may be
used for boater insurance discount
credit. The course includes an exam
and a certificate of completion,
which allows the boating violators
immediate resumption of their water
activities.
Topics include boat types, safety
equipment, navigation rules, local
charts, waterway markings, knot
tying and waverunner operation.
The tuition for the class is $35
which includes classroom instruction,
hands-on experience, text, certificate
of completion, registration with the
State of Florida, and boater ID card.
The next class is scheduled for
Saturday, June 27. For information

volunteers age 30 and older for its
Adults Mentoring Children program.
Volunteers arematched with children
who need a positive adult role model.
Many of the children are in foster
care or live with a single parent who
is going to school and working. There
is a need for volunteers for children
of all ages.
Volunteers give the gift of time to
one child and are provided social
events and support by agency staff.
No experience is necessary. There
are no costs. Volunteers spend a few
hours a week in simple activities such
as reading, fishing, baking, teaching
a craft or visiting a park with a
child. We have children throughout
Pinellas waiting for mentors!
