Minutes of firstt Meetinp of the Directors of the

East Florida Telephone Company.

Pursuant to call the Poard of Directors of the East Florida Tel-'

s phone Company met in its office-at 12 o'clock on December 8th 1904,

Present E.E.Voyle,G.A.Main and C.C.Voyle,the full board of Directors.

The President stated that in the application for a Charter,Four

hundred dollars was to be paid in.in property,at a just valuation,

Sand C.C.Voyle and G.A.Main offered to sell their interest in the Tel-

ephone line and Instruments,for which they had expended the sum of

Four hundred dollars: Mr.Main was then asked to take the *chair,and

E.E.Voyle moved that the offer be accepted,as same was at a just val-

uation,which motion was duly carried,and the following resolution to

be entered on these minutes:

i Resolved: That the said property beand hereby is accepted in

full pa:,ment for Fbrty shares of capital stock of the Company,and the

proper officers of this Company are hereby authorized and directed to

Receive the duly executed transfers,and assig-nents of the property,

Sand to issue in exchange therefore,to G.A.Main,twenty shares,and C.C.

SVoyle twenty shares of the capital stock of' the company,fully paid and

non assessable.

The Secretary reported that the Patent of the Company had been

duly received from the Secretary of State,and sar.e had been filed wit-

the Clerk of the Circuit Court of Alachua County,tog-ether with dupli-

Scate affidavit of the Treasurer,and same had been recorded in Corpor-

ation Book No.1 at page 131 et seq..and that all requirements of law

Shad been complied with to eff ect the organization of the Company,

proposed charter of a corporation to be known as EAST FLORIDA TEL-

EPHOr'E COMPANY with a capital of FIVE THOUSAATD ($5,000.00) dollarsfor


the purpose of operating telephone lines from Gainesville to Micanopy.

Archer,Newberry,Alachua,Waldo and other points in Alachua County,also

into and through Levy,Marion,Pradford,Columbia,Putnam,Clay Suwannee

Lafayette and Citrus Counties,its length 300 miles as near as ma:' be.

To' own,operate,lease and rent telephones and telephone exchanges.a.nd

to deal in any and all kinds of electrical goods and supplies,and this

corporation shall have power generally to do and perform,have,hold,

acquire and enjoy all other property powers and things as shall be

incident,necessary or expedient for the conducting the necessary

operation of the business,and generally to be vested with.:and have

all the powers granted,or which may be hereafter grantedto telephone

companies under the laws of the State of Florida,and have published

due notice thereof,and have otherwise complied with the statute in

such case made and provided.

THEREFORE,T.. STATE O FLORIDA HEREBY INCORPORATES the above nam-

ed persons)their associates and successors into a body, politic and

BY LAWS

of the,

EAST FLORIDA TELEPHONE COMPANY,

ARTICLE I. STOCKHOLDERS.

The annual meeting of .the stockholders of this Company shall be

held at the office of the 'Company in Gainesville.,Florida,on the First

IMonday in January 1905,and annually thereafter,at twelve o'clock,noon,

for the purpose of electing directors and the transaction of such

other business as may lawfully come before said meeting. The notice

of the stockholders meetings shall be published in a newspaper of

Alachua County,for at least two weeks,once each week,before such meet-

ing,ar:d where a stockholders residence is known a notice shall also

be served on him personally,or mailed to his usual Post Office address

at least two weeks before the meeting.

Special meetings of the stockholders,other than those provided

for or regulated by statute may be called by the Board of Directors

and notice thereof shall be given in the same marner as is provided

with respect to annual meetings,and shall state the purpose for which

such meetings are calledand also be held at the Company's office in

Gainesville,Florida.

q ... ARTICLE II. DIRECTORS.
The'Boar'6of Directors shall consist of Three:Stockholders and

shbll ,be..elected at the annual meeting of the Stockholders to be held
the First Monday in January 1905,and annually thereafter at the an-

nual meeting.

The Board of Directors shall have the management and control of
the business. o the corporationand shall employ such agents and ser-

vants as they may deem advisable and fix the rate of compensation of I

all officers,agents and employees.

Whenever any vacancies shall occur in the Board of Directorsby
death,resignation or otherwise,th. same shall be filled without undue

delay by the majority vote by ballot by the remaining members of the
board. The person so chosen shall hold the office until the next an-

nual meetinlor until his successor is elected and qualified.

The Board of Directors shall meet at such times and in such
places as they may by resolution determine.





The majority of the Directors shall constitute a quorum at all
meetingsof the Board.

ARTICLE III. OFFICERS.
The officers of the Company shall consist of President,Vice

President,Secretary and Treasurer.

The Officers shall be elected by the Board of Directors by',a

majority vote of the whole number of directors immediatelyaf-ter the

annual meeting of the stockholders on the First Monday in January 1905

and annually thereafter.








ARTICLE IV. EAL.
The Corporate seal of the Company shall consist of two consac-

Sa_-ve circles,between which is the name of the.Company,and in the
centre shall be inscribed "Incorporated 1904" and such seal is im-

pressed on the margin hereof,is hereby adopted as the Corporate seal
of the Company.









ARTICLE V. AMENDMENTS.
These by-laws may be amended,added to or altered by a two-thirds
vote of all the directors at any meeting,or by a majority vote of the

Stockholders at any annual meeting,or at any special meeting called
for the purposebut no by-laws regulating the election of directors

and officers of the Company shall be made within Thirty days before
the election of the Company.

I hereby certify that the foregoing are the By-Laws of the East
Florida Telephone Company,adopted by the Stockholders thereof,duly as-

sembled at a Special meeting,called for that purpose,on the 8th day
of December 1904 at 12;30 P.M.,at the office of the Company at Gaines-

ville,Florida,all the stock issued being represented.

G.A.Maln seconded by O.C.Voyle ,E.E.Voyle was duly elected President,on

motion of C.C.Voyle seconded by E.E.Voyle,Mr. G.A.Man was elected. Vice-

President,on motion of G.A.Man seconded by E.E.VoyleC.C.Voyle was elec-

ted Secretary and. Treasurer. The President stated that there was suf-

ficient earnings inthe Treasury to pay a quarterly dividend of 2 1/2 per

,cent upon stock issued. On motion it was decided to pay a dividend of

S2 1/2 per cent on the stock on record December 31st.1-904.

A Meeting of the Board of Directors of the East Florida

Telephone Company, was held at its office in Gainesville,Fla. at 7:30 P.M.

Dec.23rd.1905.

Present E.E.VoyleG.A.Main and C.c.Vovle.

From advance statement of the books,the President stated

there would be sufficient net earnings to pay a quarterly dividend of

2 1/2 per cent on the Stock on record and would leave some funds over.

It was on motion decided to pay a 2 1/2 per cent dividend as of Dec.31st.

1905.

The State having authorized this Company to increase it.s

Capital Stock to $25000.00 it was on motion resolved to allow the Stock-

holders now of record to subscribe for the new Stock equal to their

holdings at $9.50 per share the balance of $.50 cents to be paid out of

the surplus fund.

loaned the Company so as to carry on the business until Capital was in-

creased Two thousand Dollars on account of all Stock having been issued

ard that he be allowed to subscribe for $2000.00-of Stock on same basis

uary lst.1906.

..On motion,the Treasurer A.E.Voyle was requested to act as Seoretaryj

Sin absence of the Secretary.

The President stated that the earnings of the Company was suffio-

lent to pay a quarterly dividend of 2 per cent and an extra dividend of

I I/2 per cent to bring the dividend up to a ten per cent dividend for

the year.

On motion duly carried a dividend of 2 per cent payable Jan Ist%

1909 and a dividend of I 1/2 per cent payable February 15th. 1909.

SeTenty thousand Dollars to the Southern Bell Telephone &
Telegraph Company.
After dissuasion of this agreement, it was duly approved,
and the sale of the entire property authorized subject to
the approval of the stockholders.

minutes of the Board of Directors, who had approved the sale

subject to the stockholders approval.

After discussion, the action of the President was ratified,

and a Tote was then taken for approval or rejection of the

sale of the entire property of the East Florida Telephone

Company to the Southern Bell Telephone and Telegraph Company,

at the price named in the agreement dated the 10th. of Anguet

1925 A. D.

All the took was voted for approval, and the President

was requested to close the sale of the property.

whether real, personal or mixed, of every kind, nature or description
whatsoever, including all lines of telephone and telegraph poles,
wires, cables, conduetors, subways, conduits, instrument, tools,
automobiles, trucks & other vehicles, switchboards, central Office
equipment, supplies, materials, appliances, furniture, constructed,
located and being in the Counties of Alachua, Citrus, Dixie, Her-
nando, Lake, Levy, Marion, Pasco and Sumter, in the State of Florida,
and in the incorporated municipalities therein, including its local
telephone exchange in the town of Dunnellon, and its toll switching
exchange in the city of Gainesville, and in the town of Waldo, and
the following toll lines, etc etca

INFORMATION
Mr. E. E. Voyle was an Englishman* H6 was born in St. Michal1s
Parish, Bristol, England August 27, 1854. He came to America
in the 1870 's to be with his brother Joseph Voyle, who was then
County Surveror for Alachua County, He and his brother both
became Naturalized American citizens.
Mr. E.E.Voyle married Mary Frances Sellick April 13,1879.
There were four children. The first child died in infancy.
The other three were two sons, C.C.Coyle and A. E. Voyle, and a
daughter M. Voyle.
C. C. Voyle became an Electrical Engineer and took charge
of the building and maintenance of the Telephone Lines and the
Switchboards of the East Florida Telephone Company.
Mr. C. C. Voyle died in 1960 at the age of 78
Mr E. E. Voyle died in 1939 at the age of 85.



There were three main large Exchanges, one in Gainesville at
Mr. E.E.Voyle's Office was the main one, then there was one in
Dunnellon and in Brooksville. The Company also connected with the
Leesburg Exchange, but did not own it.
The East Florida Telephone Company also served the towns
between Gainesville and Cedar Key, also Newberry, Trenton and
the phosphate mines.
The Main Office in Gainesville was at 101 SE Ist. Street.

Gainesville, Florida 206 NE 2nd. Avenue.
